Terms & Conditions


These Terms & Conditions ("Terms") govern the engagement of Remote Solutions ("Consultant") to provide digital services to the Client ("Client").

1. Services

The Consultant agrees to provide the following services to the Client (as outlined in the Engagement Agreement):

  • CRM system selection, implementation, and configuration
  • Development and implementation of email marketing campaigns
  • Design and improvement of customer service processes
  • Project management for digital initiatives
  • Ongoing technical support for implemented systems

2. Engagement Agreement

A separate Engagement Agreement will be executed for each project, outlining the specific scope of work, fees, timeline, and deliverables.

3. Fees and Payment

  • The Client will pay the Consultant the fees outlined in the Engagement Agreement.
  • Payments are due within 7 days of invoice
  • Late payments will be subject to a late fee of 5% per invoice.

4. Client Responsibilities

  • The Client is responsible for providing timely and accurate information requested by the Consultant.
  • The Client should designate a primary point of contact for communication.
  • The Client will promptly review and provide feedback on deliverables.
  • The Client is responsible for obtaining all necessary licenses and permissions for the use of third-party software or services.

5. Consultant Responsibilities

  • The Consultant will perform services with professional skill and care in accordance with industry standards.
  • The Consultant will keep the Client informed of project progress and any potential issues.
  • The Consultant will maintain the confidentiality of all Client information.

6. Intellectual Property

  • The ownership of intellectual property rights developed by the Consultant for the Client will be determined in the Engagement Agreement.
  • The Consultant retains ownership of all pre-existing intellectual property used in the course of providing services.

7. Term and Termination

  • The term of this Agreement will be as specified in the Engagement Agreement.
  • This Agreement may be terminated by either party upon 30 days written notice for cause, or immediately upon written notice for material breach.

8. Limitation of Liability

  • The Consultant's liability to the Client for any claim arising out of or related to these Terms or the Services will be limited to the amount of fees paid by the Client for the specific service in question.
  • The Consultant will not be liable for any consequential, indirect, incidental, or punitive damages.

9. Indemnification

  • The Client agrees to indemnify and hold harmless the Consultant from and against any and all claims, losses, expenses, liabilities, and damages (including attorney's fees) arising out of or related to the Client's breach of these Terms.

10. Force Majeure

Neither party will be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government regulations.

11. Entire Agreement

These Terms, together with the Engagement Agreement, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

12. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of Ontario. Any dispute arising out of or related to these Terms will be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

14. Waiver

No waiver of any breach of any provision of these Terms will be deemed a waiver of any subsequent breach.

BY SIGNING THE PROVIDED CONTRACT, THE CLIENT AND CONSULTANT ACKNOWLEDGE THAT THEY HAVE READ, UNDERSTOOD, AND AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT.
